Terms of Service

These terms govern access to the OUTSEED website, project-request and engineer-application workflows, and online delivery workspaces. A signed client agreement or order form controls the delivery of paid services.

1. Acceptance and eligibility

By using the platform or submitting a form, you agree to these terms. You must be at least 18 and authorized to act for any organization you identify. If you do not agree, do not use the platform.

2. OUTSEED's role

OUTSEED reviews technology needs, identifies suitable specialists, supports introductions, and may manage agreed engineering services. Anonymous profiles are capability summaries, not offers of employment or guarantees that a particular engineer will be available. OUTSEED is not a general employment agency for platform users.

3. Project requests are not binding orders

Submitting a project request starts a review. It does not require the client to purchase services and does not require OUTSEED or an engineer to accept work. Scope, deliverables, staffing, service levels, fees, payment terms, confidentiality, data handling, intellectual property, and termination terms must be agreed in a written order form, statement of work, or other client agreement before paid delivery begins.

4. Engineer applications and network participation

Submitting an engineer application does not guarantee admission, introductions, or paid work. Applicants must provide accurate professional information, disclose relevant conflicts or work restrictions, maintain current availability, and cooperate with reasonable capability and identity checks. OUTSEED may approve, pause, or remove a profile to protect clients, engineers, or service quality.

5. Accounts and authentication

You are responsible for activity under your account, protecting your credentials and authenticator setup, and promptly reporting suspected compromise. You may not share accounts, bypass access controls, impersonate another person, or attempt to access a workspace or administrative area without authorization.

6. Acceptable use

You may not use OUTSEED to violate law or third-party rights; distribute malware; probe or disrupt systems without written authorization; scrape private profiles; solicit engineers or clients in breach of an agreement; submit deceptive information; or upload credentials, private keys, regulated records, or other secrets through a public form.

7. Client and engineer responsibilities

Clients must provide lawful access, timely decisions, safe working conditions, and accurate technical context. Engineers must work within approved scope, follow client security and confidentiality requirements, record work accurately, and escalate risks or scope changes. Neither party may direct work that is unlawful or unsafe.

8. Confidentiality and data

Public forms are for initial, non-secret context. Confidential project information must be handled under the applicable agreement and approved channels. Each user retains responsibility for information they submit and confirms they have the right to provide it. The Privacy Policy describes website-level personal-information practices.

9. Intellectual property

OUTSEED owns the platform, brand, interface, and reusable materials it provides unless an agreement states otherwise. Users retain ownership of their pre-existing materials. Ownership and licensing of project deliverables are defined in the applicable client agreement; these website terms do not transfer project intellectual property.

10. Fees and taxes

Any website pricing is directional and non-binding unless included in a signed commercial document. Clients are responsible for agreed fees, applicable taxes, and approved expenses. Engineers are responsible for their own tax, licensing, and work-authorization obligations unless a written agreement says otherwise.

11. Third-party services

The platform may offer sign-in or delivery integrations operated by third parties. Their terms and privacy practices apply to their services. OUTSEED is not responsible for third-party systems outside its reasonable control.

12. Service availability and disclaimers

The website and pre-contract matching features are provided on an "as available" basis. To the extent permitted by law, OUTSEED disclaims implied warranties for those features. Service commitments, remedies, and warranties for a paid engagement are only those written in the applicable client agreement. No profile, estimate, response time, or project preview guarantees a result.

13. Limitation of liability

To the extent permitted by law, OUTSEED will not be liable under these website terms for indirect, incidental, special, consequential, or punitive damages, or loss of profit, revenue, data, or opportunity. Any liability that cannot be excluded will be limited to the greater of USD 100 or the amount paid specifically for the website feature giving rise to the claim in the prior three months. A signed client agreement may set different limits for paid services.

14. Suspension and termination

You may stop using the website at any time. OUTSEED may suspend or terminate access for suspected compromise, misuse, legal risk, non-payment under an applicable agreement, or material breach. Provisions that by nature should survive termination will remain effective.

15. Disputes and controlling agreements

The governing law and dispute forum for paid work will be stated in the applicable client or engineer agreement. For website use where no separate agreement applies, the parties will first attempt in good faith to resolve a dispute through written notice. If these terms conflict with a signed agreement, the signed agreement controls for its subject matter.

16. Changes and contact

We may update these terms prospectively and will change the effective date when we do. Material changes may also be communicated to registered users. Questions may be sent to contact@outseed.me.
